These Terms of Service (the "Terms") govern your access to and use of the Palisade platform, analytics, software, and related services (collectively, the "Palisade Platform") made available by Palisade Innovation, Inc., a Delaware corporation ("Palisade," "we," "us," or "our"). The Palisade Platform and our website at www.palisadeinnovation.com (the "Website") together with any software, tools, analytics, content, and services we provide are collectively referred to as the "Services."
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
You represent that you are at least eighteen (18) years of age and have the authority to enter into these Terms on your own behalf or on behalf of the entity you represent.
By accessing or using the Services, you agree to these Terms and our Privacy Policy (the "Privacy Policy"), which is incorporated into these Terms by reference.
We may revise these Terms from time to time at our discretion. When we do so, we will update the "Effective Date" at the top of this page. The revised Terms will be effective when posted on the Website. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
To use certain features of the Services, you may be required to create an account ("Account") and provide information such as your name, email address, organization, billing information, and other details ("Account Information"). You agree to provide accurate, current, and complete Account Information and to keep it up to date.
We may, but are not obligated to, require additional verification (e.g., professional affiliation, ID checks) before enabling or continuing your access.
You may be required to select or receive a username and password or use single sign-on or other authentication credentials ("Login Credentials"). You are responsible for maintaining the confidentiality of your Login Credentials and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account or Login Credentials.
Palisade is not liable for any loss or damage arising from your failure to safeguard your Login Credentials.
By using the Services, you consent to receive communications from us, including emails, in-app messages, and other notices related to your Account, the Services, and (where permitted by law) marketing communications. You may opt out of certain marketing communications by following unsubscribe instructions or contacting us at support@palisadeinnovation.com, but you may not opt out of service-related communications.
Access to the Services may require payment of subscription fees or other charges (collectively, "Fees"). We may publish a fee schedule on the Website or otherwise make Fees available to you at the time of registration or upgrade.
By subscribing to or otherwise accessing paid portions of the Services, you agree to pay all applicable Fees.
We may use third-party payment processors (such as Stripe) to bill you through an online account. By submitting payment information, you authorize us and our payment processors to charge the Fees (and applicable taxes) to your designated payment method. You agree to the terms and privacy policy of any such payment processor.
You must ensure that all billing information is accurate and updated (e.g., changes in billing address, credit card number, or expiration date). If payment is not received when due, we may suspend or terminate your access to the Services.
Unless otherwise specified at signup, subscriptions will automatically renew for successive periods of the same length as your initial subscription term and at the then-current rate. You may cancel auto-renewal in accordance with any instructions provided in your Account or by contacting us prior to the renewal date. Cancellation will take effect at the end of the then-current subscription period.
You are responsible for all taxes, duties, and government charges associated with your use of the Services, other than taxes on our net income.
Except as expressly stated on the Website or in a written policy provided by us, all Fees are non-refundable once paid.
The Services are designed to provide analytics, search, and decision-support functionality based primarily on patent and related public-domain or publicly accessible data, as well as data you supply. We may change the scope, features, and functionality of the Services from time to time, including by adding, modifying, or removing features.
THE SERVICES, INCLUDING ANY ANALYTICS, SCORES, OUTPUTS, REPORTS, OR RECOMMENDATIONS, ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL ADVICE, A LEGAL OPINION, OR A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.
You are solely responsible for obtaining independent legal, financial, and technical advice before relying on any Output or other information from the Services.
We may modify, suspend, or discontinue all or part of the Services at any time, with or without notice, including for maintenance, security, legal, or business reasons. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
We may terminate or suspend your access to the Services, in whole or in part, at any time and for any reason, including for violation of these Terms, non-payment of Fees, suspected fraud or misuse, or to comply with law.
You may stop using the Services at any time. If your Account has self-service cancellation options, you may use those to cancel your subscription. Termination or cancellation will not entitle you to any refund except as expressly required by law or stated by us in writing.
Sections that by their nature should survive termination (including without limitation Sections 4.2, 5–12) will survive termination of your Account or these Terms.
The Services, the Palisade Platform, all software, models, algorithms, scoring frameworks, user interfaces, designs, and other content provided by us (collectively, "Palisade Content") are owned by Palisade or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms and your payment of applicable Fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Palisade Content solely for your business purposes and solely as enabled by the Services.
Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, sell, lease, or create derivative works of any Palisade Content.
The Services may use or display data from public-domain patent records (e.g., USPTO publications) and other third-party sources ("Third-Party Materials"). You understand that Public patent documents may still contain copyrighted elements (e.g., images, figures), and our rights in Third-Party Materials are governed by applicable law and the terms of those sources.
We do not guarantee the accuracy, completeness, or availability of any Third-Party Materials.
You may upload or submit data, documents, or other content via the Services ("User Content"). You retain all ownership rights in your User Content.
You grant Palisade a non-exclusive, worldwide, royalty-free license to host, process, store, analyze, and otherwise use your User Content as necessary to provide, maintain, secure, and improve the Services and to comply with applicable law.
You represent and warrant that you have all rights necessary to provide your User Content to us and that your User Content and its use in connection with the Services will not violate any law or third-party rights.
The Services may produce: risk scores, probability scores, exposure scores, infringement-risk assessments, licensing-value predictions, or enforceability or validity likelihood scores, rankings, indices, or comparative analytics relating to patents, portfolios, organizations, or technologies, forecasts, scenario analyses, pattern detection, or data-driven modeling outputs, and textual or graphical summaries, analysis, or recommendations (all of the foregoing, collectively, "Ratings and Analytics").
You acknowledge and agree that: ratings and analytics represent opinion and probabilistic estimates, not objective or verifiable certainties; ratings and analytics are inherently subject to error, data limitations, and model limitations; ratings and analytics may be given in good-faith based on public or inferred data that may be incomplete, outdated, or inaccurate; ratings and analytics are not statements of current or historical fact; and ratings and analytics are not a guarantee or warranty of future events, outcomes, litigation results, validity findings, or market behavior.
You agree that: ratings and analytics are provided as informational tools only; ratings are not designed to substitute for professional legal, financial, risk, or technical analysis; palisade does not audit or verify the accuracy of public data or user content; you use any ratings and analytics at your sole risk.
Palisade does not undertake or accept a fiduciary duty, a duty of care, an advisory duty (legal, financial, or otherwise), or any obligation to update or correct Ratings and Analytics.
Palisade does not use your User Content to train or fine-tune Palisade's underlying foundation models in a way that would expose your specific User Content to other customers. We may, however, use aggregated and anonymized usage data and high-level performance metrics to improve the Services, provided that such data does not identify you or your User Content.
You agree not to: represent Palisade Ratings or Analytics as certified, validated, verified facts, or conclusions guaranteed to be correct; use Ratings or Analytics as the basis of public claims, regulatory filings, securities disclosures, or investor solicitations without independent verification; state or imply that Palisade recommends, "approves," or "endorses" litigation strategies, financial transactions, or asset valuations; use Ratings or Analytics as expert testimony or evidence of factual conclusions without independent experts and professional review; or create derivative scoring systems that compete with, map one-to-one against, or misrepresent Palisade scoring frameworks.
Palisade reserves all rights in: the structure of its scoring and rating methodologies, the factors considered by its models and weighting decisions, the intellectual frameworks used to produce Ratings and Analytics, any indices, benchmarks, classifications, or taxonomies created or used by Palisade, and any branding, naming, or identification associated with Ratings and Analytics.
Any unauthorized creation, aggregation, distribution, or commercialization of Ratings and Analytics may constitute a violation of U.S. intellectual property and unfair competition laws.
You acknowledge that all Palisade scoring systems, ranking methodologies, frameworks, indices, benchmarks, or taxonomies — whether numerical, tier-based, probabilistic, or categorical — including the selection, arrangement, and weighting of factors, constitute confidential and proprietary intellectual property of Palisade.
Except for limited rights expressly granted to you in these Terms, no license or right is granted to: disclose, deconstruct, reverse engineer, extract, recreate, or infer Palisade scoring methodologies; use Ratings or Analytics to build data sets or benchmarks to compete with Palisade; map Palisade ratings against your own ratings in a way that suggests interoperability, alignment, equivalence; or publish systematic comparisons designed to replicate Palisade methodologies.
You may provide suggestions, ideas, or feedback regarding the Services ("Feedback"). You agree that Palisade may use Feedback without restriction or compensation and that Feedback is not confidential.
As a condition of using the Services, you agree not to: use the Services for any unlawful purpose or in violation of any applicable law or regulation; use the Services to create or support a competing product or service; reverse engineer, decompile, disassemble, or attempt to derive source code, models, or algorithms from the Services; circumvent or attempt to circumvent any security or access-control mechanism; introduce viruses, malware, or other harmful code; use any automated system (including bots, scrapers, or crawlers) to access or extract data from the Services, except via an official API with our express written permission; attempt to gain unauthorized access to any account, system, or network; upload or transmit content that is illegal, infringing, defamatory, harassing, or otherwise objectionable; infringe or misappropriate any third party's intellectual property or privacy rights; misrepresent your identity or affiliation, or impersonate any person or entity.
We reserve the right to determine, in our discretion, whether use violates these Terms and to act accordingly, including by suspending or terminating access.
Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.
We use commercially reasonable administrative, technical, and physical safeguards to protect data processed by the Services. However, no system is completely secure. You acknowledge that transmission of data over the internet carries inherent risks, and we cannot guarantee absolute security.
The Services may integrate or interact with third-party services, APIs, or websites. We do not control and are not responsible for third-party services or content. Your use of any third-party service is subject to its own terms and privacy policies.
Links to third-party websites are provided for convenience and do not constitute an endorsement.
THE SERVICES, THE PALISADE PLATFORM, ALL PALISADE CONTENT, OUTPUT, AND ANY OTHER INFORMATION PROVIDED BY US ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (1) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (2) OUTPUT OR OTHER RESULTS WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR PURPOSE; (3) ANY DEFECTS WILL BE CORRECTED.
YOU USE THE SERVICES, OUTPUT, AND ALL RELATED INFORMATION AT YOUR OWN RISK.
PALISADE RATINGS AND ANALYTICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, OR FITNESS FOR ANY PARTICULAR PURPOSE. THEY MAY BE BASED ON PUBLIC DATA, AI-GENERATED ANALYSIS, ESTIMATED INFORMATION, OR ASSUMPTIONS. YOU ACKNOWLEDGE THAT ANY RELIANCE ON RATINGS OR ANALYTICS IS AT YOUR SOLE RISK AND DISCRETION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PALISADE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR (1) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (2) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR (3) COST OF SUBSTITUTE GOODS OR SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF PALISADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALISADE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PALISADE FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALISADE SHALL HAVE NO LIABILITY FOR ANY CLAIM, LOSS, DAMAGE, COST, OR EXPENSE ARISING OUT OF OR RELATED TO RELIANCE ON PALISADE RATINGS AND ANALYTICS, INCLUDING WITHOUT LIMITATION: DEFENSIVE OR OFFENSIVE LITIGATION OUTCOMES; PROSECUTION STRATEGIES, CLAIM DRAFTING, VALUATION, LICENSING, OR INVESTMENT DECISIONS; REGULATORY OR DISCLOSURE OBLIGATIONS; TRANSACTION PRICING OR DEAL STRUCTURING; FINANCIAL LOSS, LOST OPPORTUNITY, GOODWILL LOSS, OR PORTFOLIO IMPAIRMENT.
You agree to indemnify, defend, and hold harmless Palisade and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Services, your User Content, your violation of these Terms or applicable law, or your infringement or misappropriation of any third party's rights.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts and waive any objection that such courts are an inconvenient forum.
Entire Agreement. These Terms, together with the Privacy Policy and any supplemental policies or terms referenced herein, constitute the entire agreement between you and Palisade regarding the Services and supersede all prior or contemporaneous agreements or understandings.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Force Majeure. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party infrastructure.
